Leads legal work for mergers, acquisitions, investments, and corporate matters, supporting Rain’s growth and international expansion.
What you'll do
- Manage M&A and strategic investment transactions from LOI through closing and post-closing integration, including due diligence, deal structuring, and negotiation.
- Draft and negotiate transaction documents and support board and stockholder approvals.
- Advise on corporate structure, international expansion, regulatory approvals, and general corporate legal matters.
What they ask for
- Hands-on experience drafting and negotiating acquisition agreements, investment documents, and related ancillary agreements.
- Strong understanding of corporate governance, entity management, and Delaware corporate law.
- Ability to manage multiple workstreams and deadlines, communicate legal concepts to business stakeholders, and handle substantial in-house drafting.
- JD and admission to at least one U.S. state bar.
